Terms and Conditions for Business-to-Business Relationships with LocalsGuide LLC – Community Magazine in Southern Oregon
These Terms and Conditions (“Terms”) govern the business-to-business relationship between Company and LocalsGuide LLC – Community Magazine (“LocalsGuide”) for the provision of services in Southern Oregon. By engaging in business with LocalsGuide, you agree to these Terms.
1. Services Provided:
LocalsGuide offers advertising, marketing, and promotional services, including but not limited to print advertising, digital marketing, sponsored content, and event promotion in Southern Oregon.
2. Agreement Scope:
These Terms apply to all transactions, agreements, and services provided by LocalsGuide to the Client, unless expressly agreed otherwise in writing.
3. Payment Terms:
a. Payment for services rendered by LocalsGuide is due upon receipt of invoice, unless otherwise agreed upon in writing.
b. All prices quoted are in USD and are subject to applicable taxes.
c. Failure to make timely payments may result in suspension or termination of services, without prejudice to any other remedies available to LocalsGuide under law or equity.
4. Content and Materials:
a. Client is solely responsible for providing accurate, lawful, and appropriate content and materials for publication or promotion.
b. LocalsGuide reserves the right to reject or remove any content or materials that it deems inappropriate, offensive, or contrary to its policies.
5. Intellectual Property:
a. All intellectual property rights in materials provided by LocalsGuide, including but not limited to designs, graphics, and content, remain the property of LocalsGuide or its licensors.
b. Client grants LocalsGuide a non-exclusive, royalty-free license to use, reproduce, modify, and publish client-provided content and materials for the purpose of providing services under this agreement.
6. Confidentiality:
a. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.
b. This obligation of confidentiality survives the termination of this agreement.
7. Limitation of Liability:
a. LocalsGuide shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the provision of services under this agreement.
b. In no event shall LocalsGuide’s total liability exceed the total fees paid by the Client for the services rendered under this agreement.
8. Termination:
a. Either party may terminate this agreement upon written notice if the other party breaches any material term or condition of this agreement and fails to cure such breach within thirty (30) days of receiving written notice.
b. Upon termination, Client shall pay LocalsGuide for all services rendered and expenses incurred up to the effective date of termination.
9. Governing Law and Jurisdiction:
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Oregon.
10. Entire Agreement:
These Terms constitute the entire agreement between the parties and supersede all prior and contemporaneous agreements and understandings, whether oral or written, relating to the subject matter hereof.
By engaging in business with LocalsGuide, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
